Terms of Service

These Terms of Service ('Terms') govern access to and use of Nora, operated by Nora Pty Ltd (ABN 20 929 099 264) at nora.com.au ('Nora', 'we', 'us'). By creating an account, signing in, or using Nora, you agree to these Terms on behalf of yourself and, where applicable, the NDIS provider organisation you represent ('you', 'Customer'). If you do not agree, do not use Nora.
1. The service
Nora provides software for NDIS providers to draft, structure, review, and export documentation including shift notes, progress notes, incident records, service agreements, policy guidance (Ask Nora), and related team workflows. Features may change, and some capabilities may be labelled beta or in development.
Nora assists documentation; it does not replace professional judgement, clinical advice, or your legal obligations under the NDIS Act, NDIS Practice Standards, state/territory law, or safeguarding frameworks.
2. Eligibility and accounts
You must be at least 18 years old and authorised to act for your organisation. You are responsible for maintaining the confidentiality of login credentials and for all activity under your account. Notify us promptly at support@nora.com.au if you suspect unauthorised access.
3. Customer responsibilities
You agree to:
- Use Nora only for lawful purposes and in line with your obligations as an NDIS provider.
- Ensure you have a lawful basis to collect and enter participant and worker information into Nora.
- Review, approve, and take responsibility for all documentation before use, disclosure, or reliance.
- Configure team roles appropriately and train staff on your policies and safeguarding procedures.
- Not misuse Nora to store unlawful content, infringe rights, or attempt to compromise our systems.
4. AI-assisted features
AI-generated or AI-assisted outputs may be inaccurate or incomplete. You must verify content against facts, participant records, and applicable standards before approval or distribution.
We may process inputs and outputs to operate, secure, and improve Nora, as described in our Privacy Policy, including quality evaluation and model improvement. You retain responsibility for final documents your organisation issues.
5. Data and privacy
Our Privacy Policy at nora.com.au/legal/privacy explains how we handle personal information, including the subprocessors we use (such as hosting, database, email, payment, and AI providers).
For many providers, you are the entity that determines how participant data is collected; Nora acts as a service provider processing data on your instructions to deliver the product.
You acknowledge that, to provide support and operate the platform, Nora personnel and subprocessors may access workspace content when necessary, and that we are working to strengthen encryption for notes and service agreements as described in the Privacy Policy.
Some subprocessors may process data outside Australia. Details are in the Privacy Policy.
6. Subscription, trials, and payment
Paid plans, trials, and limits (such as users or participants) are described on our website or in your order. Fees are billed in advance unless otherwise stated. Unless required by law, fees are non-refundable once a billing period has commenced.
Payments are processed by Stripe, a third-party payment provider. Stripe's handling of payment data is governed by its own terms and privacy policy.
We may change pricing with reasonable notice. Continued use after a price change constitutes acceptance for subsequent billing periods.
7. Intellectual property
We own Nora, including software, branding, and underlying technology. You retain ownership of content you upload or create. You grant us a licence to host, process, and display your content solely to provide and improve the service, consistent with the Privacy Policy.
8. Confidentiality
Each party will protect the other's confidential information using reasonable care and use it only for purposes related to Nora. This does not limit disclosures required by law or our use of data as described in the Privacy Policy.
9. Availability and support
We aim for reliable availability but do not guarantee uninterrupted access. Maintenance, outages, or failures by subprocessors (including hosting, database, email, payment, or AI providers) may affect the service.
Support is available via support@nora.com.au during reasonable business hours (Australian time), subject to your plan.
10. Disclaimer
To the maximum extent permitted by law, Nora is provided 'as is' and 'as available'. We disclaim all warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that outputs will be error-free or that use will satisfy audit or regulatory outcomes.
11. Limitation of liability
To the maximum extent permitted by law, our total liability arising from or related to Nora in any 12-month period is limited to the fees you paid us in that period (or AUD $100 if you are on a free tier). We are not liable for indirect, consequential, special, or punitive damages, or for loss of profits, data, goodwill, or regulatory penalties.
Nothing in these Terms excludes liability that cannot be excluded under the Australian Consumer Law.
12. Indemnity
You indemnify us against claims arising from your content, misuse of Nora, or breach of these Terms, except to the extent caused by our gross negligence or wilful misconduct.
13. Suspension and termination
You may stop using Nora at any time. We may suspend or terminate access for material breach, non-payment, risk to security or others, or as required by law. Upon termination, your right to access ceases; we may retain or delete data per the Privacy Policy and applicable law.
14. Governing law
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of courts in New South Wales, subject to any non-excludable rights under the Australian Consumer Law.
15. General
If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or successor. These Terms, together with the Privacy Policy and any order-specific terms, are the entire agreement between you and Nora regarding the service.
